These Terms of Service govern access to and use of the VisioClarity website and visual intelligence platform. By using the service, you agree to these Terms. If you use VisioClarity on behalf of an organization, you confirm that you are authorized to bind that organization.
1. The service
VisioClarity provides tools for image ingestion, visual analysis, metadata enrichment, semantic and image search, analytics, organization, and asset management. The capabilities, limits, support, and storage options available to an organization depend on its plan and any applicable order or service agreement.
2. Accounts and authorized use
You must provide accurate account information, keep credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity carried out through your account and for ensuring that users you authorize comply with these Terms.
You may not use the service unlawfully, upload content that you do not have the right to process, attempt to gain unauthorized access, interfere with the service, or use the service to infringe another person's rights.
3. Customer content
You retain your rights in images, visual assets, metadata, and other content submitted to VisioClarity. You grant VisioClarity the limited permissions needed to host, process, analyze, enrich, store, and display that content to provide the service and follow your configuration and instructions.
You are responsible for the lawfulness, accuracy, and rights associated with customer content, including any notices or permissions required for personal data, likenesses, or licensed material. VisioClarity does not use customer images, assets, or content to train AI models.
4. Plans, capacity, and billing
Plans are subject to the asset, managed-storage, user, workspace, collection, and feature limits shown on the Pricing page or in an applicable order. We send notices when an organization reaches 80% and 90% of its managed-storage or asset capacity. When either limit is reached, new ingestion may be limited while the existing library remains available.
Capacity packs are activated when added to a plan and billed monthly as an addition to that plan. Prices, renewal terms, taxes, payment terms, cancellation, and any refunds are governed by the applicable order, checkout terms, or service agreement.
5. Intellectual property
VisioClarity and its licensors retain all rights in the service, software, documentation, branding, and materials provided by VisioClarity. These Terms grant you a limited, non-exclusive right to use the service during the applicable subscription or authorization period. They do not transfer ownership of VisioClarity's intellectual property.
6. Availability and changes
The service may evolve as VisioClarity improves its platform. We may add, change, or discontinue features, taking into account the commitments that apply to your plan or agreement. Planned maintenance, third-party dependencies, events outside our reasonable control, or misuse may affect availability.
7. Suspension and termination
We may suspend or restrict access where reasonably necessary to protect the service, other customers, or people; to address a security or legal risk; or where payment or compliance obligations are not met. We will use reasonable efforts to provide notice and an opportunity to remedy the issue when appropriate.
When access ends, the handling and deletion of customer content are governed by the applicable order or service agreement. You should maintain copies of content that you need to retain.
8. Order of precedence
If an order form, data processing agreement, or other written service agreement applies to your use of VisioClarity, it supplements these Terms. If there is a conflict, the specific written agreement controls to the extent of that conflict.
